Glowing golden stepping stones crossing a green desk toward a desert city skyline at sunrise: how to start a business in Saudi Arabia

How to Start a Business in Saudi Arabia in 2026: A Complete Step-by-Step Guide

Most of the work now happens online, on official platforms. The order matters: decide who owns the business, choose a structure, register, then sort out tax, staff and banking. This page is the map. Each section gives the short answer and links to the full Infosaudia guide.

Quick answer

Short answer: Choose your activity and legal structure. Foreign investors complete MISA investment registration first. Then get a commercial registration (CR) from the Ministry of Commerce through the Saudi Business Center, register with ZATCA for zakat (and VAT if you pass the threshold), open Qiwa and GOSI files if you hire, and open a business bank account. A CR no longer expires; you confirm its data once a year instead.

Key takeaways

Key takeaways

  • Main platform: the Saudi Business Center and the Ministry of Commerce issue the CR (Ministry of Commerce, as of 2 Nov 2026).
  • Foreign investors: the old “MISA licence” is now called investment registration, and MISA’s guide gives up to 10 working days for review (MISA Investor Guide, as of 2 Nov 2026).
  • No CR renewal: under the Commercial Register Law, a yearly annual confirmation of your data replaces renewal (Commercial Register Law, Article 11, as of 2 Nov 2026).
  • VAT: registration is mandatory above SAR 375,000 of taxable supplies in 12 months (ZATCA VAT guideline, as of 2 Nov 2026).
  • Costs: there is no single fee. You pay several separate items, each set on its own official page.

Step 0: who is starting the business?

Your route depends on who owns it. Saudi citizens, and GCC citizens treated like them, normally apply straight to the Ministry of Commerce. A foreign company, or an individual with Premium Residency, starts with the Ministry of Investment (MISA), according to MISA’s FAQ (MISA, as of 2 Nov 2026).

Choose a legal structure

The structure decides who is liable for debts, what documents you need and how the business can grow. The common choices are a sole establishment, a limited liability company (LLC) and, for an existing foreign company, a branch.

Foreign investors: MISA investment registration

The “MISA licence” was replaced by investment registration under the Investment Law. Registration is updated each year rather than renewed. MISA sets the fee for each case when it approves the application, and the guide says it must be paid within 15 business days of notice or the registration is void (section 3.1.1, as of 2 Nov 2026).

Foreign ownership: which activities can be 100% foreign-owned?

Most activities open to investment can be fully foreign-owned. Activities on the official excluded list need MISA approval or are closed, and a few have a minimum Saudi share or a minimum capital set in MISA’s activity table.

Commercial registration (CR)

The CR is the business’s record on the Ministry of Commerce register: trade name, legal form, capital, managers and address (Article 6). The law says a complete application is decided within 10 days (Article 7), changes must be updated within 15 days (Article 10), and the annual confirmation replaces renewal (Article 11).

Licences and permits

Many activities need more than a CR: a sector licence from the relevant regulator and, for a physical location, a Balady municipal licence.

Importing fruit and vegetables

Companies apply for a fruit and vegetable import permit through MEWA’s Nama platform (Import Vegetables and Fruits Permit, as of 2 Nov 2026). Check the current timings and documents on Nama before you ship.

What it costs: the components

Plan for these items, each priced on its own official page: MISA investment registration (foreign owners only, set on approval), CR and trade name fees, publication of articles of association for companies, any minimum capital for your activity, municipal and sector licences, document attestation and translation, office or registered address, and recurring items such as the annual confirmation, GOSI contributions and visas for staff.

Tax: zakat, VAT and e-invoicing

ZATCA says a taxpayer number is created when you register with the Ministry of Commerce, after which you complete zakat registration on ZATCA’s portal (ZATCA, as of 2 Nov 2026). ZATCA’s VAT guideline says registration is mandatory once taxable supplies pass SAR 375,000 in 12 months, and optional above SAR 187,500 (ZATCA VAT guideline, as of 2 Nov 2026). These are legal thresholds, not fees.

No. Under the Commercial Register Law the CR has no renewal step. You file an annual confirmation of your data instead (Article 11, as of 2 Nov 2026).

How long does it take to set up a company?

There is no single answer. The one official timeline we can cite is MISA’s: up to 10 working days to review an investment registration (as of 2 Nov 2026). CR, ZATCA and Qiwa steps add their own time.
