Commercial Registration in Saudi Arabia: The New CR Law Explained

A commercial registration (CR), or sijil tijari, is the record that puts your business on the Ministry of Commerce’s register. The Commercial Register Law changed how it works. The biggest change for owners is that there is no CR renewal any more. Instead, you confirm your data once a year.

Quick answer

Short answer: Apply electronically to the registrar with your trade name, legal form, capital, managers and address. A complete application is decided within 10 days. Update any change within 15 days, and file an annual confirmation of your data. If the confirmation is 90 days late, the CR can be suspended (Commercial Register Law, as of 2 Nov 2026).

Key takeaways

  • Who must register: every merchant (Article 5).
  • Decision time: 10 days from a complete application, extendable in cases set by the Regulations (Article 7).
  • Appeal a rejection: to the Ministry within 60 days of notice (Article 7).
  • Changes: update within 15 days (Article 10).
  • Yearly: an annual confirmation statement replaces renewal (Article 11).

What the application needs

Article 6 lists the data every application must include:

  • the applicant’s name, address and ID number
  • the trade name
  • the legal form, such as a sole establishment or an LLC
  • the capital
  • the managers or board members and their powers
  • the address of the main place of business

Article 8 says applications are made electronically. In practice you apply through the Saudi Business Center or the CR service on my.gov.sa. Foreign investors complete MISA investment registration first, according to MISA’s FAQ (as of 2 Nov 2026). For the screens and documents, see our checklist to register a business.

5

Register for tax: ZATCA says a taxpayer number is created when you register with the Ministry of Commerce (ZATCA, as of 2 Nov 2026).

CR renewal: now the annual confirmation

People still search for “CR renewal”. Under Article 11, a merchant files a yearly statement confirming the data in the register. Article 10 adds that any change, such as a new manager or address, must be updated within 15 days of the change.

What happens if you miss the annual confirmation

Article 15 sets out the steps. If the confirmation is 90 days late, the registrar warns you that the CR will be suspended 14 days later. Suspension also suspends every licence issued on that CR.

A suspension lasts one year. You can lift it within that year by filing the confirmation and paying the fees and any fine. If you don’t, a sole trader’s CR is struck off. For a company or a foreign company’s branch, the Ministry may ask the partners to dissolve it, or go to court.

Warning

A suspended CR suspends every licence linked to it. Put the annual confirmation date in your calendar.

Fees, fines and displaying your CR

The law leaves fees to its Implementing Regulations. We don’t list amounts because they change; check the fee shown on the Saudi Business Center before you pay.

Article 21(1) sets a fine for violations such as false data, not registering, late updates, a missed confirmation or not displaying the CR. The fine may be doubled for a repeat within three years (Article 21(2)), and the amount depends on how serious the violation is and the size of the business (Article 21(3)). Article 16 says the CR data must be shown clearly at your premises.
